FOP to SM REIT: Understanding the Structural Shift
Most CS professionals stay far away from AIF, REIT, and InvIT.
The regulations are dense. The structures are complex. The space feels like it belongs to investment bankers and lawyers, not Company Secretaries.
I think that’s exactly the wrong conclusion.
Under the SEBI (AIF) Regulations, 2012, the SEBI (REIT) Regulations, 2014, and the SEBI (InvIT) Regulations, 2014 — compliance, governance, trustee oversight, investor reporting, and FEMA structuring are all areas where a sharp CS practitioner has a legitimate and valuable role.

seriously and systematically. ICSI publications on REIT/InvIT. NISM AIF certification. Deep study of SEBI’s regulatory framework.
I don’t have years of deal experience yet. I have something else: the willingness to study the regulation properly and explain it clearly to the professionals who need to navigate it. That’s what I’ll be sharing here.
